Terms of Use

These Terms of Use ("Terms") govern your access to and use of the ExpenseBRIO App, a financial management technology service provided by BRIO COMMERCE INC. ("we," "us," or "our"). By creating an account and accessing our platform, you agree to be bound by these Terms. If you do not agree to these conditions, please discontinue use of our services immediately.

1. Acceptance of Agreement

By using the ExpenseBRIO App, you represent that you have read, understood, and agreed to this legally binding agreement. Your use of the service is also subject to our Privacy Policy, which is designed to comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) of Canada.

To use our services, you must be a resident of Canada and at least 18 years of age. You agree to provide accurate, current, and complete information during the registration process and to maintain the security of your account credentials at all times.

You represent that:

• You have the legal capacity to enter into this agreement
• All registration information you submit is truthful and accurate
• You will maintain the accuracy of such information
• Your use of the service does not violate any applicable law or regulation

4. Account Security

You are responsible for all activities that occur under your account. BRIO COMMERCE INC. employs bank-level AES-256 encryption to protect your data, but you are responsible for maintaining strong passwords and ensuring your hardware is secure.

You agree to:

• Notify us immediately of any unauthorized use of your account
• Ensure that you log out from your account at the end of each session
• Use a strong, unique password not used for other services
• Not share your account credentials with any third party

5. Bank Account Connectivity

ExpenseBRIO App utilizes secure third-party data aggregators to provide read-only access to your financial transaction data. By connecting an account, you grant us permission to analyze transactions strictly for the purposes of categorization, financial insights, and automated savings calculations.

We do not:

• Store your banking credentials on our servers
• Have the ability to initiate transactions without your explicit authorization
• Share your banking data with third parties for marketing purposes
• Sell or rent your financial information

6. Fees and Billing

Certain features of the ExpenseBRIO App may require a paid subscription. All fees are disclosed on our Pricing page and are billed in Canadian Dollars (CAD). Subscriptions renew automatically unless cancelled at least 24 hours before the end of the billing cycle.

You agree that:

• All fees are non-refundable except as required by law
• We may modify pricing with 30 days' notice
• You are responsible for all applicable taxes
• Failed payments may result in service suspension

7. Acceptable Use Policy

You agree not to use the ExpenseBRIO App to:

• Violate any laws, regulations, or third-party rights
• Transmit any viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Use the service for any fraudulent or illegal purpose
• Impersonate any person or entity
• Harvest or collect information about other users

8. Intellectual Property Rights

The ExpenseBRIO App, including all content, features, and functionality, is owned by BRIO COMMERCE INC. and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the service for personal, non-commercial purposes. You may not:

• Copy, modify, or create derivative works of the service
• Reverse engineer or decompile any part of the service
• Remove or alter any proprietary notices
• Use the service to develop a competing product

9. Data Accuracy and Responsibility

While we strive to provide accurate financial data and calculations, we cannot guarantee 100% accuracy due to factors beyond our control, including third-party data aggregator limitations and timing delays in bank data feeds.

You acknowledge that:

• You should verify all financial data independently
• BRIO COMMERCE INC. is not liable for decisions made based on app data
• You remain solely responsible for your financial decisions
• The app is a tool to assist, not replace, your financial judgment

10. Limitation of Liability

To the maximum extent permitted by the laws of Ontario, BRIO COMMERCE INC. shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Service downtime or interruptions
• Inaccuracies in third-party banking data
• User-end security breaches
• Financial losses resulting from use of the service

Our total liability to you for any claim arising from or related to these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless BRIO COMMERCE INC., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your use or misuse of the service
• Your breach of any applicable laws or regulations

12. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe:

• Violates these Terms or our policies
• Harms other users or the integrity of the service
• Exposes us or others to legal liability
• Is otherwise inappropriate

You may terminate your account at any time through the app settings or by contacting support. Upon termination, your right to use the service will immediately cease.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Your continued use of the service after changes become effective constitutes acceptance of the revised Terms.

14. Dispute Resolution

Before filing a formal legal claim, you agree to first contact us at contact@cantrustai.com to seek an informal resolution. We commit to working in good faith to resolve any disputes.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action or proceeding related to these Terms or the service shall be brought exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and BRIO COMMERCE INC. regarding the use of the service and supersede all prior agreements and understandings.
